Terms and Conditions
Last updated: 18 October 2026
These Terms and Conditions ("Terms") apply to your use of the website xavierholdingsltd.com (the "Website") and to inquiries, site visits, bookings and related dealings with Xavier Holdings Ltd ("Xavier Holdings", "we", "us" or "our") that start through the Website. By using the Website you agree to these Terms. If you do not agree, please do not use the Website.
These Terms govern use of the Website. They do not replace the written allotment agreement, sale agreement, deed or other signed contract for any apartment, commercial space or other property. If a signed contract says something different from these Terms, the signed contract applies to that transaction.
1. About us
Xavier Holdings Ltd is a real estate development company in Bangladesh. Our head office is at 14 Gausul Azam Avenue, Sector 14, Uttara, Dhaka - 1230, Bangladesh. You can contact us on our hotline +8809610969620 or by email at hello@xavierholdingsltd.com.
2. Property listings and availability
- Project and apartment information on the Website, including names, locations, sizes, layouts, number of units, floors, parking, facilities, specifications, images, renderings, brochures, prices and handover dates, is given in good faith for general information only. It is not an offer that can be accepted to form a contract.
- Images, 3D renderings, perspective views and sample interiors are artistic impressions. Finished buildings, finishes, fittings, colours and surroundings may differ.
- Apartment sizes are approximate, as marked on the Website, unless a signed agreement states the measured area and how it was calculated (for example, whether common space is included).
- Availability changes all the time. A unit shown on the Website may already be booked, sold or withdrawn. A unit is reserved only when we confirm it in writing after the booking steps described below.
- Project status and expected handover dates (for example "Ongoing", "Upcoming" or "Handed Over") are our current estimates. They can change because of approvals, construction, utility connections, weather, supply conditions or other matters outside our control. The handover date that binds us is the one written in the signed agreement for your unit.
- Designs, specifications and layouts may be changed to meet approvals from the relevant authorities, engineering requirements or the availability of materials, within the limits allowed by law and by your signed agreement.
3. Inquiries
You can ask about a property through the Website contact form, by phone or by email. When you send an inquiry, please give accurate details so that we can reply. Sending an inquiry does not create a reservation, booking or obligation for you or for us. Any price, offer or payment plan we give in reply is valid only for the period we state, and if no period is stated, only until we change or withdraw it.
4. Site visits and viewings
- Site visits and viewings of project sites, sample units or completed apartments are by appointment, confirmed by our team.
- Construction sites carry real risks. Visitors must follow the instructions of our staff, wear safety equipment when we provide it, stay in the areas they are shown, and supervise any children with them at all times. We may refuse or end a visit for safety reasons.
- To the extent the law allows, you are responsible for your own safety and belongings during a visit, and for any damage you cause.
5. Negotiations
Price discussions, discounts, payment schedules and special terms are not binding until they are written in a booking confirmation, allotment letter or signed agreement issued by Xavier Holdings Ltd. Verbal statements, messages from individual staff members or social media posts do not change our written terms. We are not bound by an offer or commitment made by a person who is not authorised by Xavier Holdings Ltd.
6. Bookings and allotment
- A unit is booked when you complete our booking form, pay the booking money that we specify, and receive our written booking confirmation or money receipt.
- After booking, the allotment, the price, the payment schedule, the handover terms, the cancellation and refund terms, and the rights and duties of both sides are set out in the allotment letter or sale agreement. That document controls the transaction.
- If you cancel a booking, or if a booking is cancelled because payments are not made as agreed, any refund and any deduction will follow the terms of your signed booking or sale agreement and applicable law.
7. Payments
- Pay only by the methods we confirm in writing, such as a bank transfer, a pay order or a cheque in the name of Xavier Holdings Ltd, and always ask for an official money receipt from us for every payment.
- Do not make payments in cash to individuals or into personal accounts. We are not responsible for payments made to a person or an account that we have not authorised in writing.
- Instalments must be paid on the dates in your payment schedule. Late payment may lead to the consequences stated in your signed agreement.
- Unless your signed agreement says otherwise, the buyer pays the government charges for transfer and registration, such as stamp duty, registration fees, taxes and other official charges, and the costs of the buyer's own legal advice.
- If you receive a message asking you to pay into a new or unknown account in our name, confirm it with us on our hotline or at hello@xavierholdingsltd.com before paying.
8. Documents
- Before signing, buyers may ask to see the documents for the project they are interested in, which may include land ownership papers, the approved building plan, the agreement with the landowner and other approvals relevant to the project. We will share copies or arrange for them to be inspected, as appropriate.
- We encourage every buyer to have the documents checked by their own lawyer before paying any booking money.
- Buyers must provide true and complete documents when asked, such as a National ID card or passport, photographs, a TIN certificate where required, proof of address and any power of attorney if someone signs for them.
- Registration and transfer of a property take place according to the laws of Bangladesh and the terms of the signed agreement.
9. Buyer responsibilities
- Make your own checks, inspections and inquiries, and take independent legal, financial and tax advice before you commit.
- Give accurate personal, financial and contact information and tell us promptly if it changes.
- Pay on time and keep all money receipts and agreements in a safe place.
- Follow the building's rules and the rules of the owners' association after handover.
- If you are buying with a home loan, arrange the loan with your bank yourself. Any home loan help we offer is information and introductions only, and we cannot guarantee that a loan will be approved.
10. Seller and landowner responsibilities
When you ask us to help sell, resell or develop your property, or when you offer land for development:
- You confirm that you are the lawful owner or that you are authorised to act for the owner, and that the information and documents you give us are true, complete and not misleading.
- You must tell us about any mortgage, lien, dispute, case, co-ownership claim or other matter that affects the property.
- Any service, commission, fee or development share will apply only under a separate written agreement signed by both sides.
- We may decline to list or promote a property if we cannot verify its documents.
11. Third-party information and links
The Website may include information from third parties, such as maps, distances to landmarks, bank or loan information, utility information and links to other websites. We include them for convenience only. We do not control third-party websites or services and are not responsible for their content, availability or privacy practices. Distances and nearby facilities are approximate and may change.
12. Use of the Website
You agree not to misuse the Website. This includes sending false inquiries, attempting to gain unauthorised access, introducing malicious code, collecting data from the Website by automated means, or using the Website in any way that breaks the law or harms other users or us.
13. Intellectual property
The Website and its content, including the Xavier Holdings name and logo, text, photographs, renderings, floor plans, brochures, designs and layout, belong to Xavier Holdings Ltd or are used with permission. You may view and print pages for your personal use in connection with a property inquiry. You may not copy, republish, change or use any of this content for commercial purposes without our written permission.
14. Limitation of liability
- We try to keep the Website accurate and available, but we do not promise that it will be free of errors, complete, up to date or uninterrupted.
- To the extent permitted by the laws of Bangladesh, Xavier Holdings Ltd is not liable for any loss or damage arising from reliance on the Website's content alone without a signed agreement, from the actions of third parties, or from indirect or consequential loss.
- Our responsibilities for a particular property are those set out in the signed agreement for that property and those that applicable law imposes. Nothing in these Terms limits any liability that cannot be limited under the laws of Bangladesh.
15. Complaints
If you are not satisfied with any part of our service, please contact us:
- By email: hello@xavierholdingsltd.com
- By phone: +8809610969620
- In writing or in person: Xavier Holdings Ltd, 14 Gausul Azam Avenue, Sector 14, Uttara, Dhaka - 1230, Bangladesh
Please include your name, contact details, the project and unit concerned (if any), and a clear description of the issue with any supporting documents. We will acknowledge your complaint, look into it, and reply to you. We will try to settle any disagreement by discussion in good faith first. If a complaint is about a signed agreement, the dispute resolution terms of that agreement will apply.
16. Governing law and jurisdiction
These Terms and any dispute arising from them or from the use of the Website are governed by the laws of the People's Republic of Bangladesh, including, where applicable, the Real Estate Development and Management Act, 2010 and the rules made under it. Subject to any arbitration or dispute resolution clause in a signed agreement, the courts of Bangladesh at Dhaka have jurisdiction over such disputes.
17. Changes to these Terms
We may update these Terms from time to time. The updated version will be posted on this page with a new "Last updated" date. Changes do not affect agreements that have already been signed.
